In case of sale
As a general rule, we will not charge mobilization fee, retainer fee(Monthly base) and intermediate payment unless we completed M&A or successful investment. The majority of M&A have the fee system which will occur certain amount of charge as mobilization fee, retainer fee, intermediate payment even when the business wasn’t succeeded. But, we believe that charging those fees could become our objective if we have the same system as other brokers, even the possibility of success is very small.
Therefore, our company recognize as accomplishment only when we could complete M&A to the clients. For that reason, we would like to receive our fee for the result.
Handling Fee（In case of M＆A）
In case of sale, after the share transfer, business transfer have started, the deal will be closed. The fee will be charged as below depending on the price of trading amount ( Sale amount ). In the case of acquisition, we will deduct mobilization fee, retainer fee, intermediate fee, etc. that we received in advance ,and the success fee shown in the table below will be charged. The minimum amount of Contingency fee is 5 million yen ( excluding tax ) and this is applicable only the sale amount is under 100 million yen.

In case of acquisition
Making full use of our domestic and overseas networks, we will assist multinational companies and clients of financial sponsors in M & A projects to acquire domestic and overseas businesses. In the case of acquisition in M & A, as a general rule, mobilization fee, retainer fee (monthly fee), intermediate fee, etc. will be incurred. Acquisitions can be single acquisitions or acquisitions aimed at complementing or strengthening existing businesses. In addition, even after the M & A is completed, it is possible to provide sales support services by making full use of our network.
